Perk.com Buys Viggle

Austin-based rewards and loyalty app developer Perk.com said today that it has agreed to acquire Viggle, in an asset purchase agreement. Perk said it is purchasing the rights to the Viggle name and brand, as well as all of Viggle's interest in its mobile and tablet app, Viggle App. Perk.com said it will pay 1.5M shares of its common stock, or approximately $4.7M, for Viggle, along with warrants and a number of other items. Perk.com also said it will lend $1.0M to Viggle ahead of the acquisition. Viggle was based in New York, where Perk.com said it will continue to operate Viggle's office.
